Terms of Use for Advertisers

then click proceed at the bottom of this page



By placing an order for advertising with youreguides.com on the order form "the Order Form" you agree to be bound by the conditions set out below. The advertising services are provided by YEG Ltd trading as youreguides.com and referred to as 'we' or 'us'. YEG Ltd's registered office is at 26 Trent Close, Room 2, Yeovil, Somerset. The email contact address is: [advertising@youreguides.com] The advertiser is the person, company or business placing the order for advertising and referred to as "you".

1. Payment

1..1 We will invoice you when we receive your order. This will confirm our acceptance of your advertisement. You must pay the invoiced amount to youreguides.com within [fourteen/thirty days] after the invoice date. We will not publish the advertisement until we have received full payment of the invoice sum in cleared funds. You agree to pay interest on sums due under unpaid invoices at the rate of 4% above the base lending rate of youreguides.com s' main bank from the date when payment was due until the date payment is received, whether before or after judgment. If you fail to pay you will be responsible for all expenses (including legal fees) incurred by youreguides.com in the recovery of amounts due.

1.2 You are placing the advertisement and entering in to a contract with youreguides.com as principal with authority to do so, even though you may be placing an add on behalf of a client or customer in your capacity as advertising agency or media buyer.

2. Advertising Content

2.1 You hereby grant to youreguides.com a worldwide non-exclusive license to reproduce and display the advertisement in accordance with the terms set out in the advertising order and these terms of use for advertisers

2.2 You hereby grant us the express right to reproduce throughout the world images on all or part of any of youreguides.com property containing all or part of any of the advertising materials you have supplied to us on or in any promotional or advertising material or campaign promoting or advertising youreguides.com.

2.3 You warrant that your advertising material complies with the codes of practice issued by the Committee of Advertising Practice in the UK, or the Advertising Standards Authority for Ireland as applicable and all other relevant industry codes of practice.

2.4 You warrant that you are the Copyright owner or that you have full rights by way of licence to reproduce and publish the material contained in the advertising material and that the following statements are true:

· the reproduction and/or publication of the advertisement will not breach any contract or infringe or violate any copyright, trademark or any other personal or proprietary right of any person or render youreguides.com liable to any proceedings whatsoever; · any information supplied in connection with the advertisement is accurate, complete, true and permits the reproduction of the advertisement; and · in respect of any advertisement submitted for publication which contains the name or pictorial representation (photographic or otherwise) of any living person and/or any part of any living person and/or any copy by which any living person is or can be identified have obtained the authority of such living person to make of such name, representation and/or copy.

2.5 You hereby indemnify YEG Limited in respect of any losses, costs damages or expenses incurred if you are in breach of any of the warranties set out above.

3. Position of Advertisement and Other Terms

3.1 Except as otherwise agreed between us, the position of advertisements within the youreguides.com website is at our sole discretion and we may also carry advertisements for any product, service or business which competes with yours;

3.2 youreguides.com may reject or amend any art work, materials and copy for or relating to an advertisement so as to comply with the legal or moral obligations placed on your eguides.com or you; or to avoid infringing a third party's rights, the Committee of Advertising Practice in the UK, or the Advertising Standards Authority for Ireland as applicable and all other relevant industry codes of practice or the production and quality specifications stipulated or referred to in [the Order Form];

3.3 All advertising is for a period of twelve months commencing from midnight after the date your advertisement is first displayed;

3.4 youreguides.com has the right at its discretion to decline to publish, or to omit, suspend or change the position of, any advertisement otherwise accepted for insertion, the wording, or the quality of the colour or mono reproduction of the advertisement.

3.5 youreguides.com will not return any copy, artwork, photographs or other materials which you send us unless you specifically request us to and send us a stamped and self-addressed return envelope. youreguides.com will not be liable for the loss of any such materials, which you warrant that you have retained in sufficient quality and quantity for whatever purpose.

3.6 Files available for use are GIF or JPEG type and may not exceed our limits on pixels size. Two sizes are available: 700 x 100 - as a standard size or 700 x 200 - for larger sized advertisements. Two advertising slots are available above each review page, one is always reserved for the proprietor, and the second is available for purchase by a competitor but may also be purchased by the proprietor at a reduced rate. If two advertisements are displayed on a review page then the proprietor's advertisement will always appear first.

3.7 Where the advertisement is placed by you in your capacity as an advertising agency, you warrant that you are authorised to place the advertisement with your eguides.com and you will indemnity us against any claim made by the advertiser against youreguides.com arising from publication thereof.

3.8 Subject to this, youreguides.com shall have the right to change its scale of advertisement rates, technical specification, and/or mechanical details at any time and shall be entitled to vary or apply differing rates, specification or details commensurate with the format of the website. Please view the Order Form for current information.

4. Usage

You acknowledge that youreguides.com has not made any guarantees with respect to usage statistics of the web-site which include, without limitation, levels of impressions or click throughs for any advertisement or for any position specified for each advertisement. We may give you estimated usage statistics as a courtesy but we will not be held liable for any claims relating to usage statistics. You agree that we will have no liability for any loss in revenue you may suffer related in any way directly or indirectly to placing an advertisement with youreguides.com as opposed to any other web-site or publication.

5. Renewal

Except as expressly set out in the Order Form or as agreed between us in writing any renewal of your advertisement and acceptance of your advertising order will be at our own discretion. The rates applicable to any renewal period, if any, is subject to change by youreguides.com from time to time in our absolute discretion.

6. No Assignment or Resale of Advertising Space

You may not resell, assign or transfer any of your rights hereunder and any attempt to do so will allow youreguides.com to terminate this contract immediately without any liability to you under the contract.

7. Cancellation

Once we have accepted your advertising order and have placed your advertisement on your eguides.com web-site, you will have no right to cancel during the period for which the advertisement was placed.

8. Limitation of Liability

It is your responsibility to check the correctness of the advertisement and of each insertion of the advertisement if more than one. youreguides.com assumes no responsibility for the repetition of an error in an advertisement ordered for more than one insertion unless notified immediately the error occurs. Any other matter of complaint, claim or query (whether in relation to the advertisement or the invoice) must be raised with youreguides.com in writing within seven days following (as the case may be) insertion of the advertisement or of the date on which it is claimed the advertisement should have appeared or of the receipt by you of the invoice giving rise to it.

8.1 youreguides.com will not be responsible in tort, contract, negligence or otherwise for loss of profits, business, contracts, revenues, goodwill, production and anticipated savings or any indirect consequential special or economic loss of any kind arising from any failure to publish in a timely manner or at all any advertisement in accordance with the advertising order.

8.2 youreguides.com will have no liability for any failure or delay resulting from any governmental action, fire, flood, insurrection, earthquake, power failure, riot, explosion, embargo, strikes (legal or illegal), label or material shortage, transportation, interruption of any kind, work slow down or any other condition beyond the control of youreguides.com. Youreguides.com does not attempt in any way to limit liability for death or personal injury caused by youreguides.com s' negligence.

8.3. You hereby indemnify youreguides.com and agrees to keep it indemnified against all claims, costs, proceedings, demands, losses, damages, expenses or liability whatsoever arising directly or reasonably foreseeable as a result of any breach or non-performance of any of the representations, warranties or other terms herein contained or implied by law.

8.4 These conditions shall apply to each contract for the insertion of an advertisement together with such additional relevant conditions as are set out elsewhere in [the Order Form] and in the event of any variations or inconsistency between these conditions and such other conditions, these conditions shall prevail.

8.5 The contract between us which incorporates these conditions shall be construed under and governed by the law of England and you agree that the courts of England shall have exclusive jurisdiction to resolve any controversy or claim of whatever nature arising out of or in relation to this contract or breach thereof.

9. Design Services

youreguides.com can design your advertisement and, if required, an Advertisers' Information Page on your behalf. Please view the relevant section of the Order Form for the details we will require together with the applicable charges. You will have the opportunity to review and approve the design before it is posted to the site.
